The Use of Collateral in the context of Loan Financing

This session offers an in-depth overview of the Financial Collateral Directive (Directive 2002/47/EC) as transposed into Maltese law via the Financial Collateral Arrangements Regulations (SL 459.01) (the ‘FCAR’). Topics covered include:

classification of collateral taker and collateral provider;

  • obligations which may be secured by financial collateral arrangements;
  • conditions for applying FCAR to security financial collateral arrangements and title transfer arrangements;
  • and interaction between FCAR and other laws.

The session also addresses legal and practical considerations for creating, perfecting and enforcing security interests in Malta, particularly in cross-border syndicated loan financing.

Debt Collection

This seminar is intended to provide attendees with in-depth knowledge and understanding of the debt collection tools available to creditors under Maltese Law. Reference will be made to different types of judicial letters and their purpose, to the filing of precautionary acts, summary proceedings, executive titles and enforcement through executive acts. Attendees will also be provided with an overview of a number of judicial proceedings including those filed in the Small Claims Tribunal, Court of Magistrates or First Hall Civil Court and the different procedural rules as well as substantive considerations applicable to each.  Furthermore, the defensive pleas available to the alleged debtor will also be considered and explained.

Controlling Mergers, Acquisitions and Foreign Investments – the Local Experience

Date: 16th April 2026

This session will cover two regimes in Malta that have to be considered when advising on mergers, acquisitions and investments – the control of concentrations and the screening of foreign direct investments. First the regime established by the Control of Concentrations Regulations will be considered, explaining when notification is triggered and what the process entails, as well as expected timelines. A few cases considered by the authority under this regime will also be examined. Secondly, the regime established by the National Foreign Direct Investment Screening Office Act will be considered, again going through the triggers for notification, as well as the screening process.
