MFSA Circular on Amendments to the Prospectus Regulation and Market Abuse Regulation under the EU Listing Act

On 19 June 2026, the Malta Financial Services Authority (“MFSA”) issued a circular drawing stakeholders’ attention to key amendments to Regulation (EU) 2017/1129, the Prospectus Regulation, and Regulation (EU) No 596/2014, the Market Abuse Regulation (“MAR”), introduced by Regulation (EU) 2024/2809 as part of the EU Listing Act package. The EU Listing Act is intended to make EU public capital markets more attractive and accessible, particularly for small and medium-sized enterprises, by reducing administrative burdens, compliance costs and regulatory complexity. On Wednesday 17th of June 2026, the Malta Stock Exchange hosted the ‘Ringing of the Bell’ ceremony to mark the listing of Challenge Aviation p.l.c. (the “Issuer”) €30 million 5.75% secured Bonds 2032 on the Official List of the Malta Stock Exchange (the “Listing”). The Listing represents a significant milestone for both the Challenge Group and Malta’s aviation sector, being the first secured bond issue backed by aircraft. Revised formats of Insider Lists under MAR introduced by updated Implementing Technical Standards

On the 15th of June 2026, the European Commission published Commission Implementing Regulation (EU) 2026/1291 introducing a revised set of implementing technical standards under the Market Abuse Regulation concerning the format and maintenance of insider lists (hereinafter, the “Revised ITS”). The Revised ITS will start to apply from the 5th of July 2026 and replaces Implementing Regulation (EU) 2022/1210. The objective of the Revised ITS is to harmonise the use of a simplified (“alleviated”) format across all Insider Lists and reduce administrative burdens while ensuring that competent authorities retain sufficient information to monitor market abuse risks.  Key changes include, inter…
