Mamo TCV has experience in the structuring and licensing of collective investment schemes mainly UCITS; alternative investment funds and professional investor funds. We have advised clients on different structures which include multi-fund and multi-class funds, funds of funds, tracker funds and master/feeder structure. We have also provided assistance on the development of alternative investment policies and strategies and investment in less traditional, alternative and complex asset classes. We also assist in the notification process for Notified Alternative Investment Funds (NAIFS).

Scope of Services
  • Advising on or preparing the Authorisation Forms including the submission of intent to be submitted to the Malta Financial Services Authority as well as applications to the regulatory sand box
  • Assisting clients in the drafting of documentation to be submitted to the MFSA for the approval of change in shareholding as well as providing legal advice in relation to such transaction
  • Providing Legal assistance in the incorporation of the Company
  • Drafting and review of offering documents and supplements, together with any amendments thereto, constitutional documents and all agreements with third party service providers
  • The provision of legal advice on different aspects of Maltese and EU Investment Services Regulatory Framework; and local implementation of Community law
  • Main point of contact with the Malta Financial Services Authority
  • Acting as a company secretary for investment companies incorporated in Malta
  • Assistance with the redomiciliation of collective investment schemes; and
  • Assistance with the passporting of UCITS funds and alternative investment fund managers
