Mikiel Calleja is a senior associate in the corporate and finance practice of the firm. Mikiel’s main practice areas are mergers and acquisitions, capital markets, corporate finance and general corporate/commercial. As counsel to financial institutions and public and private companies, he has significant experience in corporate transactions and financing including local and cross border mergers, acquisitions and restructuring, related financing and security arrangements, private and public offerings of securities and often advises public companies on regulatory requirements. Mikiel is also regularly involved in various corporate and company law matters and has both assisted and managed in vendor and purchaser related legal due diligence.
Mikiel has recently also had a paper entitled “Piercing the Corporate Veil: Greening Companies’ Governance and Shareholder Activism” published in the peer reviewed IUCN Academy of Environmental Law Journal.
Since 2003, Joseph Camilleri has worked in the Litigation and Alternative Dispute Resolution department of the firm on assignments encompassing several aspects of civil and commercial litigation, including bank finance, real estate and asset recovery in the shipping and aviation industries.
Joseph also works in the administrative law sector, particularly in the fields of public procurement, private-public partnerships and planning law. In this regard he regularly assists Government entities in legal issues relating to the drafting of tender documents and in the evaluation of tenders, as well as in the implementation of contracts following awards. He also regularly represents clients – hailing both from the public and private sectors – in proceedings before the Public Procurement Review Board and in appeals before the Superior Courts.
In the field of planning law, Joseph has represented several clients in the private sector in planning appeals and has also worked closely with architects and architecture firms on projects requiring permits and authorisations.
Denise Abela is a senior associate in the Shipping and Aviation department within the firm and focuses on re-flagging of merchant vessels and registration of yachts. Denise has considerable experience in new-building and second-hand vessel sale and purchase transactions, the formation and support of shipping organizations, and regularly assists financial institutions with the registration of mortgages and other related securities.
Denise advises on matters relating to corporate law, marine environmental protection issues and employment matters relating to the shipping and aviation sectors. She also advises international clients (both corporate and individual) on leasing structures for yachts.
Edmond Zammit Laferla is a partner with Mamo TCV Advocates and forms part of the Corporate department and Insurance department. His areas of specialisation include all aspects of corporate, civil and commercial litigation and regularly assists clients in a variety of related matters. Provides advice to local and foreign clients on various corporate matters including corporate governance. He has also been involved in privatisation procedures and in the negotiation and drafting of major contracts. He assists clients with respect to validity and enforceability of agreements and arrangements related to commercial and corporate issues. Edmond is also regarded as one of the leading lawyers in the insurance practice area and provides legal support to a number of local and foreign insurance players by providing advice on insurance related matters including litigation, regulatory and compliance issues.
